Terms of Service

These Terms of Service ("Terms") govern your access to and use of the 1Key Unified Zero Trust Platform provided by 0101 Inc ("0101," "we," "us," or "our"), including our website, administration console, mobile applications for iOS and Android, our Progressive Web App (PWA), and the Badger Gate, Badger Guardian, Badger Shield, and Badger Guard agents (collectively, the "Services"). By accessing or using the Services, you agree to these Terms. If you do not agree, do not use the Services.
If you access 1Key through your employer or another organization, a separate master agreement or order form between 0101 Inc and that organization governs the commercial relationship and controls over these Terms to the extent of any conflict.
1. Eligibility & Accounts
The Services are intended for business use by users who are at least 16 years old and able to form a binding contract. Accounts are typically provisioned by a customer organization ("Tenant"). You are responsible for maintaining the confidentiality of your credentials and devices, and for all activity that occurs under your account.
2. Multi-Tenant Service
1Key is a multi-tenant platform. Each Tenant operates within a logically isolated environment. If you are an end user, your organization (the Tenant) administers your account, configures security policies, and may access your authentication events and device posture as described in our Privacy Policy. Your organization, not 0101, is responsible for how it configures and uses the Services.
3. License & Acceptable Use
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable right to use the Services for their intended security and authentication purposes. You agree not to:
- Copy, modify, reverse engineer, decompile, or create derivative works of the Services, except as permitted by law;
- Resell, sublicense, or provide the Services to third parties except as authorized;
- Circumvent, disable, or interfere with security or authentication features;
- Use the Services to violate any law, infringe rights, or transmit malware;
- Attempt to gain unauthorized access to the Services, other Tenants, or related systems;
- Probe, scan, or load-test the Services without our prior written consent.
4. Mobile Applications & PWA
The 1Key mobile apps and PWA are used to approve logins and perform step-up authentication via push notifications, QR codes, biometrics, and passkeys. You are responsible for keeping your device secure and your app updated. The apps may request permissions (notifications, camera, location, biometrics) as described in our Privacy Policy; you control these in your device settings, but disabling them may limit functionality.
App Store terms. If you download the app from the Apple App Store or Google Play, you also agree to the applicable store terms. For iOS, Apple is not a party to these Terms, is not responsible for the app or any support, and is a third-party beneficiary entitled to enforce these Terms against you.
5. Customer Data
As between you and us, your organization owns its data submitted to the Services ("Customer Data"). We process Customer Data to provide the Services and as described in the Privacy Policy and any applicable data processing terms. You represent that you have the necessary rights and permissions for any data you submit.
6. Service Availability & Changes
We work to keep the Services available and secure, but we do not guarantee uninterrupted operation. We may modify, suspend, or discontinue features, and may perform maintenance. Where you have a separate agreement with a service-level commitment, that agreement controls availability terms.
7. Third-Party Services
The Services integrate with third-party platforms (e.g., identity providers, APNs, Firebase Cloud Messaging, and SaaS applications). We are not responsible for third-party services, and your use of them is governed by their own terms.
8. Intellectual Property
The Services, including all software, trademarks (including "1Key," "Badger Gate," "Badger Guardian," "Badger Shield," and "Badger Guard"), and content, are owned by 0101 Inc or its licensors and are protected by intellectual-property laws. These Terms grant you no rights other than the limited license above.
9. Fees
Paid use of the Services is governed by the order form or subscription agreement between 0101 Inc and the relevant organization. Unless otherwise stated there, fees are non-refundable.
10. Termination
We may suspend or terminate your access if you violate these Terms or if necessary to protect the Services or other users. You may stop using the Services at any time. Upon termination, the rights granted to you end; provisions that by their nature should survive (such as intellectual property, disclaimers, limitation of liability, and governing law) will survive.
11. Disclaimer of Warranties
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, 0101 INC AND ITS SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, OR DATA. OUR TOTAL LIABILITY ARISING OUT OF OR RELATED TO THE SERVICES WILL NOT EXCEED THE AMOUNTS PAID FOR THE SERVICES IN THE TWELVE MONTHS BEFORE THE CLAIM, OR USD $100 IF NONE.
13. Indemnification
You agree to indemnify and hold harmless 0101 Inc from claims, damages, and expenses arising out of your misuse of the Services or violation of these Terms, to the extent permitted by law and except where a separate organizational agreement provides otherwise.
14. Governing Law & Disputes
These Terms are governed by the laws of the State of Delaware, USA, without regard to its conflict-of-laws rules. The courts located in Delaware will have exclusive jurisdiction over disputes, unless a separate agreement between 0101 Inc and your organization states otherwise.
15. Changes to These Terms
We may update these Terms from time to time. Material changes will be reflected by updating the "Last updated" date above and, where appropriate, through additional notice. Your continued use of the Services after changes take effect constitutes acceptance.
